AMP chairman quits over ‘lies’

AMP chairman Catherine Brenner has bowed to pressure to resign following damaging revelations about the giant fund manager lying to the corporate watchdog. The move is one of several responses AMP announced yesterday in the wake of the scandal unfolding at the banking inquiry.

The Royal Commission into Misconduct in the Banking, Superannuation and Financial Services Industry heard that AMP had lied to the Australian Securities and Investments Commission (ASIC) at least 20 times.

Under intense grilling, AMP executives also admitted that a so-called independent Clayton Utz report on the company’s fee-for-no-service scandal had been tampered with.

The other actions it would take, the company announced yesterday, are:

  • appointing AMP director Mike Wilkins, who heads the audit and risk committee, as Executive Chairman until a new chairman and a chief executive are found
  • showing Company Secretary Brian Salter the door and withholding his outstanding remuneration, in what appears to be AMP blaming him for the Clayton Utz fiasco
  • reducing fees for AMP directors by 25 per cent for the remainder of 2018
  • shortly determining the job and remuneration consequences for those in the business responsible for the fee-for-no-service scandal
  • making a formal submission to the Royal Commission by Friday.

In a statement, AMP said: “The board, including the former chairman, were unaware of and disappointed about the number of drafts and the extent of the Group General Counsel’s interaction with Clayton Utz during the preparation of the report.”

While Ms Brenner said she was “deeply disappointed at the issues at hand”, she avoided apologising, saying instead she was quitting because as chairman, she was accountable for governance.

Despite the fallout, which has seen a rout of AMP shares falling by about 20 per cent over the past month, the board has exonerated itself, Ms Brenner and Craig Meller, the former chief executive who resigned 10 days ago.

“The board has received advice from Philip Crutchfield QC, Tamieka Spencer Bruce of Counsel, and Tim Bednall of King & Wood Mallesons, in relation to certain issues raised in the Royal Commission concerning the preparation of the Clayton Utz report,” AMP said.

“Having considered and assessed the matters, the board is satisfied that the former Chairman Catherine Brenner, former Chief Executive Officer Craig Meller and the other directors did not act inappropriately in relation to the preparation of the Clayton Utz report.’’

AMP's shares are trading more than 25 per cent lower in the past month and closed at a six-year low of $4.02 on Friday, from a peak for the year of $5.47 in March, the Australian Financial Review reported.

Yesterday Mr Wilkins said the board acknowledges Ms Brenner’s leadership and “thanks her for her professionalism, integrity and dedication to the company over the past eight years”.

Ms Brenner is also a director on the boards of soft drink maker Coca Cola Amatil and building materials company Boral.

    She remains a director of Coca-Cola-Amatil and Boral. Unfortunately, company board members in Australia belong to a very small clique.

    They and the company CEO and Directors of AMP and the big four banks should be subject to criminal charges. At a minimum they should be personally fined, forced to make financial restitution to the victims of their callous behaviour and face imprisonment.

    Companies should not be permitted to pay fines on behalf of these executives. Any such payment would be at the expense of innocent shareholders who have already suffered significant financial loss.

    Sadly, when a customer robs a bank he goes to prison. When a bank robs a customer, executives get a bonus.

    I find the question of what these resignation packages included interesting. I hypothesise that a very large financial settlement were involved. We will probably have to wait for the AGMs for the questions to be asked, but most probably the answer will be avoided on the basis of privacy or some similar reason.
    The only real punishment could be a criminal conviction and subsequent disbarment from any executive or management position.

You are technically correct as the Royal Commission does not have the power to charge anyone with a criminal offence, they can only recommend and there is a list of those who were recommended. They are, according to you "not significant" but included in that list are:
    Cesar Melhem, ex AWU and Victorian MP
    Kathy Jackson, ex HSU
    Derek Belan, ex NSW NSU as well as his brother Nick and niece Danielle O'Brien.
    Wayne Meaney, NSW NSU.
    Darren Greenfield, NSW CFMEU official.
    Dave Hanna, Qld CFMEU.
    The CFMEU has over 100 members charged and are before various courts because of the findings of the Royal Commission. I consider that significant.

    These individuals and companies were cited for dealings with unions which the Royal Commission found to be suspect.
    I was replying to the comment about the Royal Commission into unions but, you're absolutely correct, there have been (and will be) Royal Commissions that disclose criminal dealings by other individuals and companies.

    I've only ever heard of one Islander CFMEU actually charged on recommendation from that Royal commission... and have never heard the result.

    Kathy Jackson was already 'in the gun' for Thommo...

    Are your certain all these are 'as a result of the findings of the royal commission'? Or are they just normal things like Thommo being caught out by his employer, the Union, for spending cash and card like a whoring sailor?

    Been saying for ages now there is a huge need to bring company law and structures and taxation into the 21st Century instead of the 18th, along with everything else that has been dumped in the name of progress..... like industrial relations, fair play for workers, put your nation first, taxation in-country and not in some mythical global economy (maybe I should open a Caymans account and insist I be paid there before I pay tax,and I should be able to deduct all operating costs here as well) ....

    When a company can be majority owned by a small group or even one person, and that small group of person holds NO personal responsibility for wrongs and failings (unlike Joe Bloggs who is cleaned out if he defaults), but can spirit away countless dollars via payments to own and family companies etc for 'management fees', 'consultancies', 'director's fees' and so forth - somedink iss rotten in dar Schtaat off Denmark!

    Ok may be I am naive, but AMP had been screwing their investors for years, this is nothing new, I would not invest with them if my life depended on it, they have always been this way, in the late eighties and nineties they took investments and said the principal would be protected, then they revalued the principals down when they lost a huge amount of money, screwing those of us who had invested, I was lucky my brother in law was not, they people have no scruples at all

    The LNP held off this royal commission as long as they could. This gave the banks etc time to get the deckchairs in order. All good? Now lets throw a few tokens to the plebs.

    Someone should investigate the APRA Bank Legislation passed recently and advise investors as to exactly what the "instruments" are they need to sell out of. Holding any bank share or bond could be fraught with potential capital loss. Is Fixed interest safe? Are Investment Accounts safe? Nobody knows apparently.

    It's not men claiming male CEOs are not corrupt it's women claiming women would be better that is the problem. It is also women making demands that women get CEO jobs just because they are women, women making gender an issue when clearly women are just as corrupt as men. What that means is not only will I get a corrupt CEO managing the companies I have shares in but I will also have an incompetent one who only got the job because she's a woman.     Look at Labor - over-run by women in stacked branches, and with a token woman as the leader. Remember when Labor won an election and some sheila got up and dictated to business that they would have 50% women CEOs etc or face legislation to compel it... always love these petty Fascists in Socialist disguise.... all tarred with the same brush and in many ways such women are children turned loose in a lolly shop - and act that part well.

    Genuine merit or nothing, and sorry to say this, but every business has the right to choose for its own best interests. I know that's not perfect and 'old mates' get in a lot - but it is a basic right - like choosing your life partner.

    Some senior AMP people have resigned and taken their payouts. I wonder if they had stayed the distance and been found guilty of corruption whether the payout figure would have been as generous? Just to remind people how the law works, you commit a crime you get charged and judges make a ruling. If guilty a sentence is imposed. Nowhere does it say that a person committing a crime can be absolved if they leave the business where they committed that crime. Rsignations are mere window dressing as charges, if applicable, can still be laid.

    Instead of these soft / limited actions, I support Scott Morrison's statement today that the entire Management and the entire Board should go! In other words, all GMS, CEOs (at CBA & AMP so far) and all Board members.
    Note that at CBA the new CEO was the Head of Retail Banking before that - that is where the issue of not reporting large money deposits (alleged for money laundering) took place! He got a promotion!!!
